Terms of Use

Refund Policy

For members who choose to cancel their subscription in accordance with the cancellation policy outlined in the Subscription section, the following refund policies will apply:

Monthly Subscriptions:

There are no refunds or credits for partial monthly subscriptions. Instead, the current subscription will continue until the end of the current billing cycle. At that point, the subscription will become inactive, and the account will be canceled.

ThinkScripts, Software, Courses, and Seminars:

There are no refunds for ThinkScripts, Software, Courses, or Seminars purchased through the Site. All sales of ThinkScripts are final, and no refunds will be issued once you have downloaded the source code.

Coupons:

Coupons are offered at the discretion of the company and may be granted, refused, or adjusted at any time, with or without prior notice. Occasionally, offers and discounts may be provided after you have made a purchase of a ThinkScript, Seminar, Software, Subscription, or Trial. It is solely up to the company to decide whether to offer a coupon for the price difference between your purchase price and the discounted price.

Trials:

The company provides a trial membership ("Trial Offer") for a period of seven (7) days from the moment you activate the trial period by submitting your payment details ("Trial Period"). By submitting your payment details, you (i) accept the 7-day Trial Offer, (ii) consent to the use of your payment details in accordance with our Privacy Policy, and (iii) acknowledge and agree to the Company's Terms and Conditions and Disclaimers.

fFF When you sign up for a trial, your credit card will not be automatically charged. If you decide not to continue and purchase a subscription, you must cancel your Trial Offer by logging into your account, going to My Subscriptions, and clicking the cancel button before the renewal date. Please note that cancellation of your Subscription trial is only official once you log in and cancel. Do not email support to cancel and clicking "unsubscribe" from receiving emails will only cancel email communication and not your subscription.

You must cancel your Trial Offer one day prior to the end of the Trial Period. Failure to cancel before the end of the Trial Period will result in automatic enrollment as an active subscriber, and the provided credit card will be charged the Subscription Fee for the associated Subscription.

Trial Offers are limited to one per member, unless invited via email or phone to participate in an additional Trial Offer.

Cancellation and Termination:

You may cancel your registration by logging in, going to My Subscription, selecting the Active Subscription, and clicking the cancel button. WavyTrades, at its sole discretion, reserves the right to terminate your access privileges to WavyTrades Services, as well as remove and delete any submissions, content, or files associated with your username, for any reason, including inactivity. WavyTrades shall not be liable to you or any third party for revoking such privileges or removing and deleting such submissions, content, or files

Once you become an active member, your account will be automatically renewed monthly or for the appropriate renewal period, based on your Subscription. If you wish to cancel your subscription after the Trial Period, you may do so by following the instructions in the Subscription section. No refunds or credits will be provided for partial monthly subscriptions. In the event that the company increases the Subscription Fee, you will receive prior notice. By continuing to use your Subscription, you accept the new price, and the price change will take effect at the beginning of the next subscription period following the date of the price change.

Intellectual Property:

All content offered by the company on the Site, including but not limited to free materials and content, membership materials and content, seminars, software, and any resources provided through its representatives ("Content"), is protected by trademark and copyright laws.

You are prohibited from modifying, publishing, transmitting, transferring, selling, reproducing, uploading, posting, performing, displaying, creating derivative works from, or exploiting such Content in any way or distributing it to any other computer, server, website, or other medium for publication, distribution, or any commercial purpose, unless expressly permitted by the company in this Agreement. Unauthorized copying of the Content may result in the termination of your account, prohibition from using the Site, and potential legal action.

Welcome to WavyTrades. The WavyTrades service is provided by WavyTrades LLC. ("WavyTrades"). WavyTrades aims to establish and foster an online community that can be utilized and enjoyed by all who register. This document contains the WavyTrades Terms of Use. By registering for and using WavyTrades, you agree to the WavyTrades Terms of Use. If you do not wish to be bound by the WavyTrades Terms of Use, please refrain from registering or using WavyTrades. WavyTrades may revise the WavyTrades Terms of Use at any time, without notice. Your continued use of the WavyTrades website and any other website owned and operated by WavyTrades LLC.

The following terms and conditions (the "Terms") govern your use of the WavyTrades website and any other website owned and operated by WavyTrades LLC or its affiliates (collectively, the "Site" or the "Sites") and the products and services available at the Sites (together with the Sites, the "Service"). In these Terms, "you" or "your" refers to the person accepting these Terms and, if applicable, the company on whose behalf you are acting. "We," "us," "our," "WavyTrades," or the "Company" refers to WavyTrades LLC and its affiliates. By using or accessing any part of the Service, you confirm that you are at least eighteen (18) years old and that you have read, understood, and agreed to be bound by all of these terms and conditions. If you do not agree to all of these terms and conditions, you must not use or access the Service. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company to these Terms. We reserve the right, at our sole discretion, to modify or replace any of the terms or conditions of these Terms at any time. Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes, and you are responsible for reviewing the terms periodically. Certain products or services that become available on the Service may be subject to additional or different terms and conditions, and if those additional terms and conditions conflict with these Terms, the additional terms and conditions will govern.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AS WELL AS A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

Registration; Account Security

To use WavyTrades and access certain parts of the Service, you may need to create a username and password, provide your first and last name, and a valid email address ("Registration Data"). Your username will serve as your identification within the WavyTrades community. By registering, you confirm that you are of legal age to enter into a binding agreement and agree to the following: (a) provide accurate, current, and complete Registration Data; (b) maintain the security of your password and username; (c) promptly update the Registration Data and any other information provided to the Company to keep it accurate, current, and complete; and (d) take full responsibility for any activities within your account and any actions taken using your account, including posts or submissions made using your username and password. Notify us immediately if you become aware of any unauthorized use of your login information or any security breaches. WavyTrades reserves the right to terminate, suspend, or deny your access to WavyTrades for any improper use, as defined below.

Access to the Service

WavyTrades grants you a limited, revocable, nonexclusive license to access and use the Service and the Content for personal use only. This license does not include collecting, aggregating, copying, duplicating, displaying, or creating derivative works from the Service, nor using data mining, robots, spiders, or similar tools for data gathering and extraction unless expressly permitted by WavyTrades in writing. General-purpose internet search engines and non-commercial public archives are granted a limited exception to gather information solely for displaying hyperlinks to the Service. If you wish to collect, aggregate, copy, duplicate, display, or make derivative use of the Service or any Content for other purposes, including commercial purposes, you must obtain a written license from WavyTrades LLC.

Content

The information provided or posted on WavyTrades is for informational and educational purposes only. It may not be suitable for all visitors and investors and is provided without considering an individual's financial sophistication, financial situation, investment horizon, or risk tolerance. The information should not be construed as a recommendation, advice, or endorsement of any security or trading strategy. Engaging in transactions based on information from WavyTrades may result in substantial financial loss. You are solely responsible for your investment decisions. WavyTrades and its affiliates are not responsible for reviewing or ensuring the accuracy of statements made by any WavyTrades participant. If you believe that a participant is intentionally providing erroneous or misleading information, please report it immediately to support@WavyTrades.com.

WavyTrades assumes no liability for investment decisions made based on information from WavyTrades. You understand that all Content posted or published on the Service, including postings, messages, text, images, videos, or other materials, are the sole responsibility of the person from whom the Content originated. While we provide rules for user conduct, WavyTrades, its affiliates, and partners do not control or take responsibility for Content made available through the Service. By using the Service, you may encounter Content that is offensive, indecent, inaccurate, misleading, or objectionable. WavyTrades, its affiliates, and partners are not responsible for the conduct of any User or Creator, whether online or offline. Additionally, the Service and Content may contain links to independent websites not affiliated with WavyTrades. WavyTrades does not guarantee the accuracy, completeness, or authenticity of the information on those sites. Any links you follow to other websites are at your own risk. You agree to evaluate and bear all risks associated with the use of any Content and acknowledge that WavyTrades, its affiliates, and partners will not be liable for any Content or any loss or damage incurred as a result of using any Content posted or made available through the Service. WavyTrades acts as a publisher of financial blogs and products ("Products"). The creators of the Products ("Creators") may hold long or short positions or derivatives of companies mentioned in the Products and can freely buy or sell those positions as they see fit. The Creators' positions may be inconsistent with the views expressed in the Products. The Products available on WavyTrades sites or through its products reflect the Creators' opinions and should not be considered as recommendations for any specific person or investment. The Creators will not provide personalized advice regarding any security, portfolio of securities, transaction, investment strategy, or other matter. The information provided or posted on WavyTrades is for informational and educational purposes only.

User Content Posted on the Service

You are solely responsible for the Content that you post on or through the Service, or otherwise transmit to or share with other Users (collectively, the "User Content"). You may not post or share User Content on the Service that you did not create or that you do not have permission to post. You acknowledge that WavyTrades does not pre-screen or approve User Content, but that WavyTrades shall have the right (but not the obligation) in its sole discretion to refuse, delete or remove any User Content any time that is available via the Service, in connection with violations of the letter or spirit of the Terms or for any other reason. You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the Service or otherwise provide to the Company.

When you post User Content to the Service, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on the Service. By posting User Content to any part of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose, commercial, advertising, or otherwise, on or in connection with the Service or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. Regulatory Compliance

You agree to insure that any information disseminated pursuant to the Service, whether such dissemination is made (a) by you or on your behalf by a person authorized to disseminate information on your behalf or (b) otherwise, in any case, complies with all statutes, rules, regulations, orders or other governmental acts of any jurisdiction, whether foreign or domestic, including without limitation, (i) the Securities Act of 1933, as amended, including the rules and regulations promulgated thereunder, (ii) the Securities and Exchange Act of 1934, as amended, including Rule 10b-5 and the other rules and regulations promulgated thereunder, (iii) Regulation FD promulgated by the Securities and Exchange Commission, (iv) regulations promulgated by FINRA, and (v) any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ.

Conduct and Restrictions on Content and Use of Service

Violation of the following rules of conduct, as determined in WavyTrades sole discretion, may lead to the termination of your access privileges to WavyTrades, and the removal and destroy any submissions, content or files associated with your username for any reason. WavyTrades shall not be liable to you or any third party for the revocation of such privileges or removal and destruction of such submissions, content or files. You agree not to use the Service to:

  • - Do not post or transmit post or otherwise make available any information or content that can be deemed to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, libelous, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable.
  • - Do not impersonate any person or entity or misrepresent yourself in any way or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity.
  • - Do not post, transmit or link to sexually explicit material.
  • - Do not post or transmit any information that you do not have a right to transmit, including information that is proprietary, trademarked or considered confidential.
  • - Never upload, post, transmit or make available anything that resembles any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", redirection or any other form of solicitation.
  • - Do not transmit or post information such as a computer code or file that may contain a virus that will interrupt, destroy or limit the functionality of any computer software or hardware, or telecommunications equipment or could cause harm to others.
  • - Do not bad talk to anyone or be a conduit for any activity that would be considered as a violation of any applicable local, state, federal or international law.
  • - Do not post or otherwise make publicly available on the Service any private information of any third party, including addresses, phone numbers, email addresses, Social Security numbers, and credit card numbers.
  • - Do not promote any goods or services. No solicitations of any kind are permitted on WavyTrades.
  • - If you are discussing a particular security, then you must divulge your ownership of that security.
  • - You agree that you will not duplicate, attempt to reproduce, copy, sell, redistribute or misuse any portion of WavyTrades or its content.
  • - Do not post or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law.
  • - If you access WavyTrades from outside the United States, then you must comply with all laws and rules applicable to your location.
  • - Do not take any action that imposes an unreasonably or disproportionately large load on WavyTrades infrastructure or damages or disrupts the functioning of WavyTrades systems or websites.

WavyTrades may at any time, without prior notice and at its sole discretion, remove any post in part or in its entirety, terminate your registration, or take any other action WavyTrades deems appropriate for violating the above rules of conduct or otherwise engaging in activities disruptive to the WavyTrades community.

Third-Party Data and Information Services, Other Websites, and Content

The Company may utilize third-party service providers to offer applications, services, and other utilities to you when you visit the Site or use the Service. At times, WavyTrades may present information from various third-party providers. Please note that WavyTrades does not warrant the accuracy, reliability, or completeness of any third-party information. Such information is provided "as is" and "as available" for informational and educational purposes only. When using third-party applications, services, or utilities, you must agree to comply with and be bound by their respective Terms of Service. You agree to indemnify WavyTrades for any losses, costs, expenses, or damages incurred as a result of your violation of a third party's Terms of Service. It is important to review the applicable terms and policies, including privacy and data gathering practices, of any third-party services you utilize or any links you navigate to.

Hyperlinks

Hyperlinks provided on WavyTrades are for informational purposes only, and their use is at your own risk. WavyTrades is not responsible for third-party sites hyperlinked from WavyTrades, nor does it endorse or provide warranties, express or implied, regarding the content of third-party websites or the products or services offered on those websites. This includes, but is not limited to, accuracy, completeness, reliability, suitability, non-infringement, merchantability, or fitness for a particular purpose. WavyTrades does not warrant or represent that third-party sites or their content are free from viruses or other forms of contamination, or that such content is authentic. WavyTrades reserves the right to remove any hyperlink at any time.

Intellectual Proprietary Rights

All Content (excluding participant postings) on WavyTrades, and any services provided by WavyTrades related to WavyTrades, are protected by United States and international copyright laws. This content is the property of WavyTrades, its affiliates, and/or content providers under license. "Content" refers to any information, expression, materials, or services found on WavyTrades, including message boards, blogs, chats, software, opinions, commentary, writings, graphics, and all other features. You may make one copy of the Content for personal, non-commercial use, provided that the copied material includes the notice "Copyright 2011-2012 WavyTrades LLC. All rights reserved." Any other form of copying, duplication, distribution, sale, storage, transmission, or commercial use of the Content without prior written permission from WavyTrades is prohibited. You may not sell, resell, trade, auction, transfer, or barter any Content. Republishing, posting, transmitting, or distributing the Content to online bulletin boards, message boards, blogs, chat rooms, intranets, or any other platforms without written consent from WavyTrades is also prohibited. You agree not to create abstracts or derivative works based on the Content.

Notwithstanding the above, when you post content, such as a message board post, you retain your copyright in your expression. By posting such content, you grant WavyTrades an unlimited and perpetual license to republish it on WavyTrades websites, without providing you notice. You also retain the right to use your copyrighted material in any way you want. You agree not to display any trademarks of WavyTrades, its parents, or affiliates, or use them without the express written permission of WavyTrades or the respective owners.

Trademarks

"WavyTrades" and other graphics, logos, designs, page headers, button icons, processes, and service names associated with the Company are registered trademarks or trade dress of the Company in the U.S. and/or other countries. The Company's trademarks and trade dress may not be used in connection with any product or service in a manner likely to cause confusion. They may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Company.

Privacy

We value the privacy of our users. Please refer to WavyTrades's Privacy Policy for more information. By using the Service, you consent to the transfer and processing of your personal data in the United States. As part of providing the Service, we may need to send you certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your WavyTrades account, and you may not be able to opt out of receiving them.

Securities Disclaimer

The Service is not intended to provide tax, legal, or investment advice, and nothing on the Service should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any security. Trading in securities can result in immediate and substantial losses of invested capital. You should only invest risk capital, not funds required for other purposes. Regarding content and any of WavyTrades' services, tools, products, or properties, you expressly agree to assume the entire risk as to the quality, performance, accuracy, or completeness of the content.

The service may be temporarily unavailable from time to time due to maintenance or other reasons. The company assumes no responsibility for any errors, omissions, interruptions, deletions, defects, delays, or transmission failures, communication line failures, theft, or unauthorized access to or alteration of user content. The company is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers, or providers, computer or mobile phone equipment, or software, resulting from technical problems or internet traffic congestion or any combination thereof. This includes injury, damage, or harm to users' or any other person's computer, mobile phone, hardware, or software related to or resulting from the use or downloading of content in connection with the web and/or the service. WavyTrades and its subsidiaries, direct and indirect parents, affiliates, officers, directors, employees, agents, partners, and licensors make no warranty that: (i) the content, products, tools, properties, or services provided on WavyTrades will meet your requirements; (ii) any content, products, services, tools, or properties provided on WavyTrades will be uninterrupted, timely, secure, or error-free; (iii) the content on WavyTrades will be accurate or reliable; or (iv) the quality of any content, products, services, information, or other material obtained by you through WavyTrades will meet your expectations.

Any material downloaded or obtained through WavyTrades is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from the download of such material.

No advice or information, whether oral or written, obtained by you from WavyTrades shall create any warranty not expressly stated in the Terms of Use. You understand and expressly agree that WavyTrades and its subsidiaries, direct and indirect parents, affiliates, officers, employees, agents, partners, and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if WavyTrades has been advised of the possibility of such damages). This includes damages resulting from: (i) the use or inability to use WavyTrades and its content, products, tools, properties, and services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services obtained or messages received or transactions entered into through or from WavyTrades; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on WavyTrades; or (v) any other matter relating to WavyTrades.

Some states do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such states, the liability of WavyTrades and its third-party content providers will be limited to the greatest extent permitted by law.

THE SERVICE AND THE CONTENT ARE PROVIDED "AS-IS" AND THE COMPANY, ITS PARTNERS, AND AFFILIATES DISCLAIM ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICE. THE COMPANY DOES NOT REPRESENT OR WARRANT THAT SOFTWARE, CONTENT, OR MATERIALS ON THE SERVICE OR ELSEWHERE ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE, OR THAT THE SERVICE OR ANY OF THE SERVERS USED TO OPERATE THE SERVICE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEREFORE, YOU SHOULD EXERCISE CAUTION IN THE USE AND DOWNLOADING OF ANY CONTENT OR MATERIALS AND USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES.

THE COMPANY RESERVES THE RIGHT TO CHANGE ANY AND ALL CONTENT, SOFTWARE, AND OTHER ITEMS USED OR CONTAINED IN THE SERVICE WITHOUT NOTICE. REFERENCE TO ANY PRODUCTS, SERVICES, PROCESSES, OR OTHER INFORMATION DOES NOT CONSTITUTE OR IMPLY ENDORSEMENT, SPONSORSHIP, OR RECOMMENDATION BY THE COMPANY.

Limitation on Liability

In no event will the Company, its affiliates, partners, members, managers, directors, officers, employees, or agents be liable to you or any third person for any indirect, consequential, exemplary, incidental, special, or punitive damages, including any lost profits or lost data arising from your use of the service or any of the content or other materials on or accessed through the service, even if the Company or its affiliates, partners, members, managers, directors, officers, employees, or agents is aware of the possibility of such damages. The liability of the Company and its affiliates, partners, members, managers, directors, officers, employees, and agents to you for any cause whatsoever, regardless of the form of the action, will be limited to the amount paid, if any, by you to the Company for the service in the immediately preceding six months.

Indemnity
